2.3

No warranty on website availability

We aim to keep the website accessible but do not guarantee uninterrupted availability, and we may suspend, restrict or modify access for maintenance, security or operational reasons without prior notice.

03 — Ordering

Enquiries, quotations & orders

Nothing displayed on this website is itself an offer capable of acceptance. It is an invitation for you to make an enquiry, which we then quote against.

3.1

Enquiries are not orders

Submitting a contact form, email or call does not create a binding contract. It initiates a quotation process.

3.2

Quotations

Written quotations state price, specification, packing, Incoterm and validity period. A quotation lapses automatically once its validity period ends.

3.3

Order formation

A binding Order exists only once we issue written acceptance of your purchase order against an active quotation, typically via a proforma or sales confirmation.

3.4

Accuracy of information

You are responsible for the accuracy of the quantity, specification, destination and contact details you provide. We are not liable for delay or loss caused by inaccurate information supplied by you.

3.5

Minimum order quantities

Minimums vary by product and packing format and are confirmed at quotation stage; they are not fixed company-wide figures.

3.6

Order amendments

Changes to a confirmed Order are accommodated where production or shipment has not already commenced, and may affect price or lead time.

04 — Commercial Terms

Pricing & payment

Chemical markets move. The terms below set out how price is fixed and how payment is handled once an Order is confirmed.

MatterHow it is handled
Quoted priceValid only for the quantity, packing, Incoterm and validity window stated in the written quotation; unquoted or expired prices are indicative only.
CurrencyQuotations are issued in USD unless otherwise agreed in writing; currency fluctuation between quotation and payment is not absorbed by the Company unless expressly stated.
Payment methodsLetter of credit at sight (LC) and telegraphic transfer (TT) are standard; other terms may be extended to repeat buyers with an established order history.
Advance paymentProduction or booking may require a deposit or advance as stated on the proforma invoice; balance terms are specified per Order.
Taxes & dutiesPrices exclude import duties, local taxes and destination-country levies unless the agreed Incoterm states otherwise.
Late or failed paymentWe may suspend production, hold shipment or cancel an unpaid Order; any costs already incurred (production, packing, demurrage) remain payable by the Buyer.
Bank chargesEach party bears the charges of its own bank unless otherwise agreed in writing.

Final commercial terms are those stated on the written quotation and sales confirmation for a specific Order, which prevail over this general summary.

05 — Quality

Specifications, samples & quality

Chemical procurement depends on a specification both sides have actually agreed to, not an assumption.

5.1

Specification is set before dispatch

The binding specification for an Order is the one recorded in the written quotation or sales confirmation, not a general description shown elsewhere on the website. Where you require a tighter or custom specification, confirm it in writing before the Order is accepted.

5.2

Samples

Where pre-shipment samples are provided, approval (or non-response within the stated window) is treated as acceptance of that batch quality for production purposes. Samples represent a typical batch and minor batch-to-batch variation within tolerance is normal for chemical manufacturing.

5.3

Certificates of Analysis

A batch-wise COA is issued against the shipped lot. Where a discrepancy between the COA and the agreed specification is identified, it must be raised in accordance with Clause 8 (Claims) within the stated inspection window.

5.4

Third-party inspection

Independent pre-shipment inspection may be arranged at the Buyer's request and cost, by agreement before production or loading begins.

06 — Logistics

Shipping, delivery & risk

Responsibility for goods in transit follows the Incoterm agreed for the Order, applied consistently once confirmed.

6.1 — TITLE & RISK

Passes under the agreed Incoterm

Risk and title in the Products transfer at the point defined by the Incoterm stated on the sales confirmation (e.g. on loading for FOB, on arrival for DAP). We are not responsible for loss, damage or delay occurring after that point.

6.2 — LEAD TIMES

Estimates, not guarantees

Lead times quoted for production and shipment are our best estimate based on current plant and vessel schedules. They are not a guaranteed delivery date unless expressly confirmed in writing as such.

6.3 — CARRIER & PORT DELAYS

Outside our control

We are not liable for delays caused by shipping lines, port congestion, customs processing, weather or other events outside our reasonable control, beyond providing reasonable updates and documentation support.

6.4 — PACKING

Matched to the product

Packing (drums, IBCs, bags, flexi-tanks, ISO tanks) is selected to suit the product and transit mode. Special packing requests must be confirmed in writing before production, and may carry an additional cost.

07 — Compliance

Regulatory & hazardous materials

Several Products we supply are classified as hazardous or dangerous goods. The obligations below apply in addition to the general terms of this page.

7.1

Classification & labelling

Hazardous Products are classified, labelled under GHS and packed to the applicable UN packing group before dispatch, with a dangerous goods declaration issued where required for the transport mode.

7.2

Destination-country restrictions

Import permits, end-use certificates, controlled-substance licensing and any other destination-country requirement are the Buyer's responsibility to hold and maintain. Where known, we flag applicable restrictions before confirming an Order, but this does not transfer the compliance obligation to us.

7.3

End use

You confirm that Products purchased will not be used for any unlawful purpose, and will not be diverted to an end use, end user or destination prohibited under applicable export control, sanctions or non-proliferation regulations.

7.4

Safe handling

MSDS and TDS documentation is provided with every shipment of a hazardous Product. It is your responsibility to ensure personnel handling, storing or transporting the Product on receipt are trained and equipped accordingly.

08 — After the Order

Cancellations, returns & claims

Bulk chemicals are typically produced or allocated against a specific Order, which shapes how cancellations and claims are handled.

SituationPosition
Cancellation before production/bookingMay be accepted at our discretion; any costs already committed on your behalf are deducted from a refund of advance payment, if any.
Cancellation after production/bookingGenerally not accepted once manufacturing, packing or freight booking has commenced, given the custom and perishable nature of chemical production runs.
Quantity or quality discrepancy on arrivalMust be notified in writing within 7 days of arrival at destination, with supporting photographs, survey report and the shipment's COA, for the claim to be assessed.
Concealed damageClaims for damage not visible on initial inspection must be supported by an independent surveyor's report obtained promptly after discovery.
Valid claimsWhere a claim is substantiated, remedy is limited to replacement of the affected quantity, a corresponding credit note, or a price adjustment, at our option.
ReturnsChemical Products are not accepted for return once shipped, except where a claim under this clause is upheld and return is agreed in writing, with transport arranged and reasonably borne as agreed between the parties.

Claims raised outside the stated notification window, or without supporting documentation, may not be considered.

09 — Supply Side

Manufacturer & supplier listings

Manufacturers submitting products through the "List Your Product" channel are subject to the additional terms below.

9.1

Accuracy of submission

Capacity, specification and compliance information submitted must be accurate and current; we rely on it when evaluating a manufacturing partnership.

9.2

No guaranteed onboarding

Submission of a product listing does not guarantee onboarding, listing or any volume commitment. Review and acceptance are at our sole discretion.

9.3

Separate supply agreement

Where a manufacturing partnership proceeds, commercial terms are set out in a separate supply agreement, which prevails over this page for that relationship.

10 — IP

Intellectual property

The content, design and material published on this website belong to the Company or its licensors.

All text, product descriptions, graphics, logos and layout on chelorachemicals.id are owned by, or licensed to, the Company and are protected under applicable copyright and trademark law. You may view and reference this content for genuine procurement purposes, but may not copy, republish, modify or use it commercially without our prior written consent. The Chelora Chemicals name and logo may not be used to imply endorsement or partnership without written authorization.

11 — Risk Allocation

Liability, indemnity & force majeure

This clause sets out how responsibility is shared between the Company and the Buyer once goods and payment start to move.

11.1

Limitation of liability

To the extent permitted by law, our total liability arising out of any Order is limited to the invoice value of the affected consignment. We are not liable for indirect or consequential loss, including loss of profit, production downtime or loss of contract, arising from the supply or use of Products.

11.2

Indemnity

You agree to indemnify the Company against claims, losses or costs arising from your misuse of a Product, failure to hold a required import permit or licence, or breach of the end-use undertaking in Clause 7.3.

11.3

Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disaster, war, strikes, pandemic measures, port closure, raw material shortage or government action. The affected party will notify the other promptly and resume performance once the event ends.

12 — Legal Framework

Governing law & changes to these terms

How disputes are resolved, and how we keep these terms current as our business and the regulatory environment evolve.

12.1 — GOVERNING LAW

Laws of Indonesia

These Terms & Conditions are governed by the laws of the Republic of Indonesia, without regard to conflict-of-law principles, unless a separately signed Order or supply agreement states otherwise.

12.2 — DISPUTE RESOLUTION

Negotiation, then arbitration

Disputes are first addressed through direct negotiation between the parties. Where resolution is not reached, the dispute is referred to arbitration or the courts as specified in the relevant sales confirmation or supply agreement.

12.3 — SEVERABILITY

Remaining terms stay in force

If any provision of these terms is found unenforceable, the remaining provisions continue in full force and effect.

12.4 — UPDATES TO THIS PAGE

Reviewed periodically

We may update this page from time to time to reflect operational, legal or regulatory changes. The version published on this website at the time of your enquiry or Order governs that transaction.
